By entering into a contract, the organizer is granted a limited, non-exclusive, and revocable right to use the venue solely for the specified event. The organizer is required to adhere to all relevant laws, building regulations, and occupancy limits. The space is provided in its existing state, and the organizer is responsible for its upkeep and returning it to its original condition, barring normal wear and tear. Any damage that occurs during the event must be repaired at the organizer’s expense.
While the Company may have staff on-site during the event, it retains authority over the venue at all times. Basic cleaning services are included, but any additional cleaning required due to the event’s activities will incur extra charges. The organizer is prohibited from making any structural alterations to the venue. Furthermore, the organizer must ensure that guests behave appropriately, avoiding any disruptive or unsafe behavior. If necessary, the Company reserves the right to remove individuals or terminate the event.
The organizer assumes full responsibility for interactions between guests and third parties, as the Company is not liable for disputes or incidents involving individuals other than those involved with the event. If requested in advance, the Company may provide audio-visual equipment, but the organizer is responsible for ensuring that it is returned in working condition. If any damage occurs to the equipment, the organizer must cover the repair costs. The equipment remains the Company’s property and can be removed if it is misused.
Payment terms require the organizer to submit a deposit upon booking, with the full payment due before the event. Additional costs, such as for overtime or damage, must be settled promptly after the event. The cancellation policy depends on the timing of the notice given by the organizer. Refunds are possible only if enough notice is provided. In the event that the Company cancels the booking, the organizer may receive a refund or may reschedule the event, but the Company’s liability does not extend beyond this.
Certain activities are prohibited within the venue, including smoking, the use of illegal substances, hazardous activities, and events involving gambling or medical services. Pets are not allowed unless required by law. If alcohol is served, the organizer must comply with all legal regulations, ensuring that it is legally obtained and that it is not served to minors or intoxicated individuals. The organizer is fully responsible for any incidents involving alcohol and agrees to release the Company from any related liability.
Depending on the event’s nature, security measures may be required, and the organizer will typically bear the associated costs. If there are security concerns, the Company may ask for identification. The organizer must also follow all operational guidelines, including restrictions on deliveries, storage, and maintaining occupancy limits.
The Company will make efforts to accommodate accessibility needs, but the organizer is responsible for communicating these needs in advance and for any related claims. The Company retains the right to use photos, videos, and other media captured during the event for promotional purposes without providing compensation. The organizer is permitted to take photos or videos of their event and guests but may also grant the Company a license to use these materials.
The organizer acknowledges the inherent risks involved in using the venue and agrees to waive any claims against the Company for injuries or damages, except where prohibited by law. The organizer assumes full responsibility for any personal property brought into the venue, with the Company not liable for loss or theft.
Indemnification provisions require the organizer to cover any claims, damages, or legal fees arising from the event. The Company’s liability is limited to the amount paid under the agreement, excluding any indirect or consequential damages. If unforeseen circumstances such as natural disasters or public health emergencies arise, the parties will attempt to reschedule the event. However, if rescheduling is not possible, the agreement may be terminated without further liability.
This agreement does not create a lease or property interest, and the right to use the space is temporary. The organizer may not transfer these rights without the Company’s approval. All terms are governed by the laws of Pennsylvania, and any disputes will be resolved through arbitration. The organizer must also adhere to any additional health and safety protocols, including those related to public health. Failure to comply may result in removal from the premises or penalties.
